Commercial Real Estate

We represent buyers, sellers, lenders, and borrowers in the acquisition, disposition, financing, and restructuring of commercial property across Florida — from multi-family apartment buildings and retail plazas to office properties and mixed-use developments.

The practice covers diligence coordination on title, survey, environmental, zoning, and tenancy; entity formation for the holding structure; lender coordination through underwriting and commitment; title insurance issuance through The Fund; and the modifications, refinancings, subordinations, and cross-collateral structures that follow as client portfolios grow. We handle the full cycle — from first offer letter through year-five workout.

Commercial Lending

We serve as outside counsel to Florida community banks and private lenders for the documentation and closing of commercial loans: term facilities, revolving lines of credit, construction loans with phased draw schedules, multi-loan portfolios, intercreditor and subordination structures, loan modifications, renewals, extensions, allonges, assignments, and the workout and recovery work that some credit relationships eventually require. We also review collateral and title for bank credit facilities extended to private lenders, and document vessel and aircraft financings when they enter the collateral structure.

Borrowers include real-estate holding entities, physician practices and healthcare operators, religious and educational institutions, hospitality and automotive operators, and foreign entities holding Florida property. The firm has served as closing counsel to Florida banking institutions across multiple credit cycles.

Title & Closings

We issue title insurance through Attorneys' Title Fund Services (The Fund), Florida's bar-related title insurance organization, founded in 1948 by Florida Bar members and backed by Old Republic National Title Insurance. Unlike commercial title companies, The Fund issues policies exclusively through licensed Florida attorneys — meaning a licensed attorney is responsible for the title examination, the underwriting decision, and the closing.

For clients, that means the title work is done by counsel already responsible for the transaction, and accountability from a firm that signs its name to every commitment it issues.

Residential Real Estate

We close the personal residences and investment properties of the principals and families the firm represents — purchases, refinancings, and sales across Miami-Dade, Palm Beach, and Broward counties, with title issued through The Fund. We coordinate with the lender, the real estate agent, and the title underwriter, and closings are conducted in Spanish when the transaction calls for it.

Corporate & Entity Formation

We form Florida LLCs, corporations, and the multi-tier holding structures that real estate investors and operating businesses use. We draft operating agreements that reflect how the parties intend to operate — not templates. We handle foreign and out-of-state members, OFAC and beneficial-ownership compliance, the good-standing certifications lenders require, and the ongoing entity governance that supports active financing relationships.

Most of these entities exist because there is a transaction behind them. We close the transaction too.
